Client Portal — Terms & Conditions

Last updated: September 27, 2026

These Terms & Conditions govern the use of the Alia Caffeina client portal and the web design and development services provided through it. By submitting a project intake form or using this portal, you agree to the terms below.

1. Scope of Services

Alia Caffeina (“we,” “us,” operating the Alia Caffeina client portal) provides custom website design and development services as described in the project intake form and any related communications with the client (“you,” “your”). The scope of work for your project is the description you submitted at intake, together with the checklist of build objectives shown on your portal dashboard, which we may update as the project is scoped in more detail.

Work outside that scope — new pages or features, a change in direction after work has started, additional rounds of content gathering, or ongoing support beyond what’s listed under Hosting & Maintenance below — is not included and will be quoted separately before we begin it.

2. Fees & Payment

Project pricing is set individually for each client and shown on your portal dashboard once we’ve confirmed the scope of your project. Projects are billed in two installments:

  • Deposit — due before work begins. Your project moves to active development once this is received.
  • Final payment — due once every item on your project checklist is marked complete. Your site is not published or handed over until the final payment is received in full.

All payments are processed securely through Stripe. Amounts are shown in Canadian dollars (CAD) unless your dashboard states otherwise. Prices quoted are valid for 30 days from the date they’re set; if a project stalls and restarts later, we reserve the right to re-quote.

3. Project Timeline & Your Cooperation

We’ll give you a general timeframe once your deposit is received, but timelines depend on how quickly we receive what we need from you — content, images, logins, feedback, and approvals. Delays on your end (for example, going more than 10 business days without responding to a request) will move your expected completion date back accordingly and are not considered a delay on our part.

Your dashboard checklist reflects the current build objectives for your project and updates as work is completed.

4. Revisions

Your quoted price includes reasonable revisions to bring the site in line with the original project description and checklist. It does not include a change of direction after a section has been approved, a new round of content, or features added after work began — those are treated as new scope under Section 1 and quoted separately.

5. Ownership & Intellectual Property

Ownership of the final website (code, design, and content we created for you) transfers to you upon receipt of the final payment in full. Until then, all work product remains the property of Alia Caffeina.

You’re responsible for making sure any content you provide us — text, images, logos, trademarks — is either owned by you or properly licensed for use on your site; you agree to hold us harmless for any claim arising from content you supplied. We retain the right to showcase the completed project in our own portfolio and marketing materials unless you request otherwise in writing.

Third-party elements (stock photography, licensed fonts, plugins, or platform components such as Lovable’s underlying framework) remain subject to their own licenses and are not owned outright by either party.

6. Hosting & Maintenance

Once your site launches, it moves to an ongoing hosting and maintenance plan, billed on a recurring basis starting from your launch date. This covers hosting, routine upkeep, and minor fixes; it does not include new features or a redesign, which are quoted separately as new scope.

If a recurring plan lapses or is cancelled, we may pause updates or hosting until it’s brought current; we’ll always contact you before doing so.

7. Cancellation & Refunds

The deposit is non-refundable once work has begun, as it covers time already committed to your project. If you cancel before work begins, your deposit will be refunded less any costs already incurred (for example, third-party licenses purchased on your behalf).

If we’re unable to complete a project through no fault of yours, you’ll be refunded for any portion of the work not delivered.

We reserve the right to pause or end a project if payments are not made as agreed, or if a client is unresponsive for an extended period (see Section 3).

8. Confidentiality

Any non-public information you share with us about your business — project details, credentials, business plans — is kept confidential and used only to complete your project. We won’t share it with third parties except as needed to deliver the service (for example, a payment processor or hosting provider).

9. Limitation of Liability

We’ll deliver your project with reasonable skill and care, but we don’t guarantee specific business outcomes (traffic, sales, rankings) resulting from your website. To the fullest extent permitted by law, our total liability for any claim arising from these services is limited to the amount you’ve paid us for the project in question, and we are not liable for indirect or consequential losses (such as lost profits or lost data).

We are not responsible for outages, data loss, or issues caused by third-party services we don’t control (hosting providers, payment processors, domain registrars) or by unauthorized changes made to the site after handover.

10. Governing Law

These terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-law principles. Any dispute arising from these terms or our services will be resolved in the courts of Ontario.

11. Changes to These Terms

We may update these terms from time to time; the “Last updated” date at the top of this page will reflect the most recent revision. Continuing to use the client portal after an update means you accept the revised terms. Material changes affecting active clients will be communicated by email.
